01 Agreement to these terms

By using this website you agree to these terms. If you do not agree with them, please do not use the site. These terms are between you and Silicon Squire LLC, a limited liability company registered in Wyoming, United States.

02 What this site is

This site describes who we are and the kind of work we do. It exists to give you enough information to decide whether to start a conversation with us.

Descriptions of our capabilities, our infrastructure, and how we operate are general statements about our practice. They are accurate as written, but they are not commitments made to you individually until they appear in a signed agreement.

03 No offer, and no service level commitment

This is the most important clause on the page, so we will be direct about it.

• Nothing on this site constitutes a binding offer, a quotation, a price, or a commitment to take on any particular piece of work.
• References to service level agreements, response times, on-call availability, uptime, backups, or disaster recovery describe how we work in general. They do not create any service level obligation to you unless and until they are set out in a written agreement signed by both parties.
• Submitting the contact form does not create a contract, a confidentiality obligation, or any commitment on either side.

Where a signed agreement exists between you and Silicon Squire LLC and it conflicts with anything here, that agreement governs.

04 Intellectual property

The content of this site — text, layout, design, graphics, logos, and the Silicon Squire name and marks — belongs to Silicon Squire LLC or is used with permission. You may view and share it, and quote reasonable extracts with attribution.

You may not copy the site wholesale, present our material as your own, or use our name, logo, or marks in a way that suggests a partnership, endorsement, or client relationship that does not exist.

Ownership of work we produce under a client engagement is a separate matter, dealt with in that engagement's agreement. Our normal position is that the client owns the code we write for them.

05 Acceptable use

When using this site, you agree not to:

• Attempt to gain unauthorised access to the site, its servers, or any connected system
• Probe, scan, or test the vulnerability of our infrastructure without our written permission
• Interfere with the availability of the site, including through automated request flooding
• Use the contact form to send unsolicited advertising, spam, or malicious content
• Scrape the site at a volume that degrades it for others
• Use the site for anything unlawful

We may restrict access where we reasonably believe any of the above is occurring.

06 Information you send us

Anything you submit through the contact form should be information you are entitled to share. Please do not send confidential material, personal data belonging to other people, or anything covered by an obligation to someone else before we have a confidentiality agreement in place.

Unsolicited submissions are not treated as confidential. If confidentiality matters to your enquiry, tell us and we will put an agreement in place before you send details.

07 Availability

We aim to keep this site available and current, but we do not guarantee uninterrupted access. We may change, suspend, or withdraw any part of it at any time without notice, and content may become out of date between revisions.

08 Disclaimer

This site and its content are provided "as is" and "as available", without warranty of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the site will be error-free, that defects will be corrected, or that the site or its server is free of harmful components. Nothing on this site is professional advice on which you should rely without speaking to us about your specific circumstances.

09 Limitation of liability

To the fullest extent permitted by law, Silicon Squire LLC and its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or in connection with your use of this site — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Where liability cannot lawfully be excluded, our total aggregate liability arising from your use of this site is limited to one hundred United States dollars (US$100).

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

10 Indemnity

You agree to indemnify and hold harmless Silicon Squire LLC against any claims, losses, liabilities, and reasonable legal costs arising from your misuse of this site or your breach of these terms.

11 Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising from these terms or your use of this site.

12 Severability and changes

If any provision of these terms is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full effect.

We may revise these terms from time to time. The date at the top reflects the current version, and continued use of the site after a change constitutes acceptance of it.
